Terms of Service

By using MyWaypoint's services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.

We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.

MyWaypoint provides data refinement and processing services, including but not limited to:

• Data Ingestion & Isolation: Secure intake and quarantine of client-provided or public data.
• Normalization & Structuring: Transformation of raw data into clean, structured datasets.
• API Access: Programmatic access to refined datasets for integration into client workflows.
• Dataset Downloads: Delivery of processed datasets in agreed-upon formats.

Specific service terms, including scope, deliverables, timelines, and pricing, are outlined in separate service agreements or statements of work.

As a user of MyWaypoint's services, you agree to:

• Provide Accurate Information: Ensure that all information you provide is complete, accurate, and up-to-date.
• Lawful Use: Use our services only for lawful purposes and in compliance with all applicable laws and regulations.
• No Abuse or Misuse: Refrain from attempting to interfere with, disrupt, or exploit our services, systems, or networks.
• Data Rights: Represent and warrant that you have the legal right to submit any data to us for processing.

Failure to comply with these responsibilities may result in suspension or termination of your access to our services.

MyWaypoint's Property: All content, software, designs, processes, and technology used to deliver our services are the exclusive property of MyWaypoint or its licensors. You may not copy, modify, distribute, or reverse-engineer any aspect of our platform without prior written consent.

Client Data: You retain all rights, title, and interest in the data you provide to us. By submitting data, you grant MyWaypoint a limited license to process, refine, and deliver it as part of our services. We do not claim ownership of your data.

To the maximum extent permitted by law, MyWaypoint shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to:

• Loss of profits, revenue, or data
• Business interruption
• Errors or inaccuracies in processed data

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the amounts paid by you to MyWaypoint in the twelve (12) months preceding the claim.

Disclaimer: Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

You agree to indemnify, defend, and hold harmless MyWaypoint, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights

MyWaypoint reserves the right to suspend or terminate your access to our services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or unlawful activity
• Non-payment of fees

Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, and indemnification clauses.

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict of law principles.

Any disputes arising out of or related to these Terms or our services shall be resolved through binding arbitration conducted in the Province of British Columbia, Canada, or, if both parties agree, through the courts of British Columbia.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any service agreements or statements of work, constitute the entire agreement between you and MyWaypoint regarding your use of our services.
